Podravka adopts Code of Corporate Governance

Podravka d.d. is one of the few Croatian companies to have introduced a Code of Corporate Governance. Business globalisation and the crisis of world corporations have raised the need for the development of corporate governance which is becoming a modern tool in the hands of investors.

Podravka d.d. resolves to keep abreast of reforms in the area of corporate governance and tends towards the continuous improvement of relations with investors and with its own shareholders by promoting high standards of mutual communication.

By taking into account the OECD corporate governance guidelines, and in conformity with applicable legislation in the Republic of Croatia, Podravka d.d. has adopted a Code of Corporate Governance in order to respect in equal measure the rights of all shareholders and establish an open, professional and transparent approach in its relations with the community of investors.

The key principles observed by Podravka d.d. are as follows:

1. The rights and duties of shareholders
2. Equitable treatment of shareholders
3. Duties and responsibilities of the Management Board and the Supervisory Board of Podravka d.d.
4. Disclosure and transparency

In conformity with the basic purpose of its operations, which is to ensure growth and successful operations, thus creating growth of value for shareholders, the Management Board and the Supervisory Board of Podravka d.d. support compliance with the basic principles of corporate governance.
