Pursuant to the provisions of the Capital Market Law and the Zagreb Stock Exchange Rules, we hereby inform you that PODRAVKA Inc. (hereinafter: the Company) has fulfilled all the preconditions provided under the Share Sale and Purchase Agreement on Žito Inc. shares needed for closing of the transaction regarding acquisition of shares that represent 51.55% of the Žito Inc. share capital – 183,386 shares registered under ISIN SI0031108440, at the price of 180.1 EUR per share and that on 5th October 2015 the stated transaction was closed with the Central Securities Clearing Corporation of the Republic of Slovenia.

The Company concluded the stated Share Sale and Purchase Agreement on 21st April 2015 with the consortium of the sellers that are comprised of Slovenski državni holding d.d. and Modra zavarovalnica, d.d., KD Kapital, d.o.o., KD Skladi, d.o.o., Adriatic Slovenica, d.d. and NLB Skladi, d.o.o.

Pursuant to the above mentioned, the Company acquired on 5th October 2015 the majority package of 51.55 % i.e. 183,386 shares of the company Žito Inc., headquartered in Ljubljana, Šmartinska cesta 154, Republic of Slovenia, entered into the register of the Agency of the Republic of Slovenia for Public Legal Records and Related Services („AJPES“) under the number 5391814000, and with the shares listed on Ljubljana Stock Exchange.
